# Offbook Partners Program Terms

> Terms for the Offbook Partners affiliate program

- URL: https://www.offbook.com/partners/terms

Effective Date: October 7, 2026

These terms are an agreement between you and Offbook Ventures, LLC ("Offbook", "we", "us"). They cover your participation in the Offbook Partners program (the "Program").

By applying to, joining, or taking part in the Program, you agree to these terms. If you do not agree, do not join.

## 1. About the Program

1.1. The Program rewards people who refer new paying customers to Offbook, an AI line-learning and rehearsal service for actors at offbook.co and offbook.com (the "Service").

1.2. We run the Program on Dub Partners, provided by Dub Technologies, Inc. ("Dub"). Dub handles partner sign-up, link and code tracking, tax forms, and payouts. Payouts go through Stripe Express.

1.3. These terms work alongside Offbook's [Terms of Service](https://www.offbook.com/terms) and [Privacy Policy](https://www.offbook.com/privacy). If they conflict on a Program matter, these terms control.

## 2. Joining the Program

2.1. **Invitation or application only.** We may approve or reject any application at our discretion, without giving a reason.

2.2. **Eligibility.** To join, you must:

- be at least 18 years old, or the age of majority where you live if that is higher;
- be able to receive payouts through Dub and Stripe Express in your country;
- not be subject to US or other applicable sanctions;
- give accurate information and keep it up to date; and
- not be an Offbook employee or contractor, or a member of their household.

2.3. **Removal.** We may remove you from the Program, or move you to a different partner group, at our discretion. Section 13 explains what happens to your commissions.

2.4. **Your other obligations.** If you are a teacher, coach, or employee of a school, studio, or other organization, you are responsible for following its rules on gifts, outside income, conflicts of interest, and recommending products to students.

## 3. Your options and rewards

3.1. **Commission option.** You earn a cash commission of **30% of Net Revenue** from each Referred Customer for the first **12 months** of that customer's paid subscription (Section 5). Your audience gets **20% off** the first 3 monthly payments of a monthly plan, or 20% off the first annual payment of an annual plan.

3.2. **No-commission option for coaches and teachers.** Coaches and teachers may choose instead to earn **no cash commission** and give their students **35% off** the first 3 monthly payments, or the first annual payment. This option suits organizations that do not allow paid recommendations. Ask us to switch at any time; the switch applies to purchases made after it.

3.3. **Complimentary account.** We may give approved partners a complimentary Offbook account. We decide whether to give one, at which plan, and for how long, and we may change or end it at any time. It has no cash value and cannot be transferred. A complimentary account does not depend on you posting about Offbook or on what you say about it.

3.4. Discounts apply only to Qualifying Purchases (Section 5.3) by new customers (Section 5.4). Your option appears in your Dub dashboard.

## 4. Your partner link, code, and account

4.1. We give you a unique partner link and, where available, a unique partner discount code.

4.2. You must keep your Dub account, payout details, and contact email accurate. You are responsible for all activity in your Dub account.

4.3. When you join, you also accept Dub's terms and Stripe's terms for payouts. Those terms govern Dub's and Stripe's services to you; these terms govern your relationship with Offbook.

## 5. How commissions work

This section applies to the commission option. Partners on the no-commission option earn no cash commission.

5.1. **Definitions.**

- **"Referred Customer"** means a new customer (Section 5.4) whose Qualifying Purchase is attributed to you under Section 6.
- **"Net Revenue"** means the amount Offbook actually collects from a Referred Customer for an Offbook subscription, after discounts, coupons, and credits, excluding sales tax, VAT, GST, and similar taxes, and minus refunds and chargebacks.
- **"Commission"** means 30% of Net Revenue from Qualifying Purchases, for payments collected in the 12-month window (Section 5.5).

5.2. **Example (illustration only).** A monthly plan lists at $20.00. Your audience discount takes 20% off, so Offbook collects $16.00 plus tax. Your Commission is 30% of $16.00, which is $4.80. In month 4 the discount ends, Offbook collects $20.00, and your Commission is $6.00.

5.3. **Only web purchases qualify.** A "Qualifying Purchase" is a paid Offbook subscription bought through Offbook's own web checkout, processed by Stripe, including purchases started in the Offbook Mac app that complete in that checkout. Purchases through the Apple App Store, including in-app purchases in Offbook's iPhone or iPad apps, do not qualify; they earn no Commission and get no partner discount. Purchases through any other app store or reseller do not qualify unless we say so in writing.

5.4. **Only new customers qualify.** A new customer is a person who has never been a paying Offbook customer on any platform, including the App Store. A person with a free account who has never paid can qualify.

5.5. **The 12-month window** starts on the date of the Referred Customer's first paid charge and ends 12 months later.

- On a monthly plan, you earn a Commission on each monthly payment collected in the window.
- On an annual plan, you earn a Commission on the first annual payment. A renewal charged 12 months later falls outside the window.
- If the customer changes plans in the window, Commissions continue on payments collected in the window.

5.6. **Trials and free sign-ups earn nothing.** If a trial converts to a paid subscription, the first paid charge starts the window.

## 6. Attribution and discounts

6.1. **How we credit a referral.**

- Partner link: a click stores a tracking cookie for 60 days. A Qualifying Purchase in that time is attributed to you, and your discount is applied at checkout automatically.
- Last click wins: if a person clicks more than one partner’s link before starting checkout, the most recent click counts.
- Partner code: a person who did not arrive through a partner link can enter your code at checkout, and the purchase is attributed to you. When a partner link’s discount is already applied, another code cannot be added.
- Attribution is fixed when the customer first starts checkout through a partner link or code, and it does not move to another partner later, even if that checkout is not completed.

6.2. **One discount per checkout.** Partner discounts do not combine with the Offbook student discount or any other offer. A customer who qualifies for the student discount gets it instead of the partner discount; the purchase can still earn you a Commission on Net Revenue.

6.3. **Tracking is not guaranteed.** Blocked cookies, a different device, a cleared browser, or buying outside the web checkout can stop a referral from being tracked. We are not responsible for referrals that are not tracked.

6.4. **Our records are final.** Offbook's, Dub's, and Stripe's records decide attribution and earnings. If you think a Commission is missing or wrong, email [hello@offbook.com](mailto:hello@offbook.com) within 60 days of the purchase. We will review it in good faith, and our decision is final.

## 7. Holds, payouts, and taxes

7.1. **60-day hold.** Each Commission is held for 60 days after we collect the payment.

7.2. **Voids.** A refund, chargeback, or dispute during the hold voids the Commission. A partial refund reduces it in proportion.

7.3. **Clawbacks.** We may claw back a paid Commission for fraud, a breach of these terms, or an invalid referral, or when the payment is refunded, charged back, or reversed after the hold. We may deduct it from future Commissions; if those are not enough, you agree to repay the amount within 30 days of our request.

7.4. **Monthly payouts.** After the hold, Commissions are paid monthly through Dub once your balance is at least $20; smaller balances roll over. Commissions are calculated and paid in US dollars. Stripe may convert payouts to your currency, and you pay any conversion or transfer fees your bank or Stripe charges you. Offbook pays Dub's program fees.

7.5. **Taxes.** You are responsible for all taxes on your Commissions and on any complimentary account. Dub collects tax forms (Form W-9 for US persons, Form W-8BEN or W-8BEN-E for others) and may issue tax forms such as Form 1099 where required. We may hold payouts until you give complete and valid tax information, and we may withhold tax where the law requires. If you are registered for VAT, GST, or a similar tax, you are responsible for accounting for it.

## 8. Customer prices and offers

8.1. Offbook sets all prices, plans, trials, and discounts, and may change them at any time. A price change can change your future Commissions.

8.2. You must not promise a price, discount, or feature that Offbook's website does not offer at the time.

## 9. What you must not do

Breaking these rules can lead to voided Commissions, clawbacks, and removal from the Program.

- **Brand bidding.** Do not bid on "Offbook", "offbook.co", "offbook.com", or a misspelling or close variant of them in any paid advertising, or use them in an ad's display URL, a domain, a social media handle, a profile name, or an app name. The ordinary phrase "get off book" in your own content is fine.
- **Coupon, deal, and cashback sites.** Do not post your link or code on coupon, deal, voucher, discount-aggregator, rebate, loyalty, or cashback sites, apps, or browser extensions.
- **Self-referral.** Do not refer yourself, any account you own, control, or share, or fake accounts, and do not use your own link or code to buy for yourself.
- **Incentivized sign-ups.** Do not offer cash, rebates, gifts, or other rewards for signing up or buying, other than the discount Offbook provides.
- **Cookie stuffing and spam.** Do not set tracking cookies without a real click, and do not send spam or unsolicited bulk email, texts, direct messages, or comments. Follow anti-spam laws, including CAN-SPAM, the TCPA, CASL, and UK and EU e-privacy rules.
- **Misleading claims.** Do not make false, misleading, or unsupported claims. For example, do not promise auditions, callbacks, bookings, roles, or representation; do not claim to be "official" or endorsed by Offbook, a union, or a casting director unless that is true and we agree in writing; and do not describe features, prices, or results that Offbook does not offer.
- **Fake or incentivized reviews.** Follow the FTC Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465). Do not write, buy, or post fake reviews or reviews by people who did not use Offbook; do not offer anything for a review on condition that it is positive; and do not review Offbook on a third-party site or app store without clearly disclosing your relationship with Offbook.
- **Impersonation.** Do not pretend to be Offbook or its staff, or create websites, accounts, apps, emails, or ads that look like they come from Offbook.
- **Unlawful or harmful content.** Do not promote Offbook next to content that is illegal, hateful, sexually explicit, violent, defamatory, or that infringes anyone's rights.
- **Minors.** Do not promote Offbook to minors in a way that breaks any law or platform rule, including the Children's Online Privacy Protection Act and student-privacy laws. Do not direct promotions to children under 13, collect personal information from minors for Offbook, or tag content "made for kids" while including your partner link.
- **Tampering.** Do not interfere with tracking, manipulate attribution, or use bots or scripts to create clicks, leads, or sales.
- **Platform rules and law.** Follow the rules of every platform where you promote Offbook and every law that applies to your promotion.

## 10. Disclosure of your relationship with Offbook

10.1. Clearly disclose your relationship with Offbook every time you recommend or mention it while you are in the Program, whether you earn Commissions or have a complimentary account.

10.2. Your disclosures must follow the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and the FTC Consumer Reviews and Testimonials Rule (16 CFR Part 465).

10.3. A good disclosure uses plain words such as "#ad", "paid partnership", "I earn a commission", or "Offbook gives me a free account"; sits next to the recommendation or link, not only in a bio; is easy to see; is both spoken and shown in video and repeated during live streams; appears on every post; and uses the platform's paid-partnership tools where available.

10.4. If you or your audience are outside the US, also follow local advertising law, such as the UK CAP Code and the Digital Markets, Competition and Consumers Act 2024, or the EU Unfair Commercial Practices Directive.

10.5. You are responsible for your disclosures. We may review your content and ask you to change or remove it, and you must do so promptly. The partner kit has examples, but using them does not guarantee that a disclosure meets the law in every case.

## 11. Brand use and materials

11.1. **License.** While you are in the Program, we give you a limited, non-exclusive, non-transferable, revocable license to use the Offbook name, logos, screenshots, and other materials we provide (the "Materials"), only to promote Offbook under these terms.

11.2. **Rules.** Do not alter, distort, animate, recolor, or combine the Offbook marks with other marks. Follow any brand guidelines we provide. Do not register or use any trademark, domain, or handle that includes "Offbook" or a confusingly similar term.

11.3. **Ownership.** Offbook owns the Materials and the Offbook marks, and all goodwill from your use belongs to Offbook.

11.4. **Revocation.** We may withdraw permission at any time. When we do, or when you leave the Program, stop using the Materials and remove your partner links and codes within 14 days. Older posts that you cannot reasonably edit may stay up if they keep their disclosures and are not promoted further.

11.5. **Your content.** You own the content you create. You allow Offbook to share, link to, and quote your content about Offbook, with credit to you, on Offbook's website and social channels, and you may ask us to stop at any time. We will ask your permission before using your content, name, or likeness in paid advertising.

## 12. Changes to the Program

12.1. We may change these terms, commission rates, discounts, partner options, or other Program details.

12.2. We will give you at least 30 days' notice by email or in your Dub dashboard before a change applies to Commissions. Changes apply only to Commissions on payments collected after the change takes effect, and Commissions you already earned are honored under the old terms.

12.3. We may make a change sooner if the law requires it or if it is needed to stop fraud or abuse.

12.4. If you do not agree with a change, you may leave the Program. If you stay after a change takes effect, you accept it.

12.5. We may end the Program with at least 30 days' notice, and Section 13.3 then applies as if we had ended your participation.

## 13. Termination

13.1. **By you.** You may leave the Program at any time by emailing [hello@offbook.com](mailto:hello@offbook.com) or through your Dub dashboard.

13.2. **By Offbook.** We may end your participation at any time, with or without cause.

13.3. **Your Commissions after termination.** No new Commissions accrue on payments collected after the termination date. Commissions on payments collected before it are paid after their 60-day hold if they are not voided, and Section 7 still applies, including the $20 minimum and clawbacks. If we end your participation for a breach of these terms or for fraud, we do not pay unpaid Commissions and may claw back Commissions connected to the breach or fraud.

13.4. A complimentary account ends, or returns to a free account, when your participation ends, unless we agree otherwise in writing.

13.5. Sections 7.3, 7.5, 11.3, and 13 to 19 survive termination.

## 14. Independent relationship

You are an independent contractor. Nothing in these terms makes you an employee, agent, legal partner, joint venturer, or franchisee of Offbook. You have no authority to make promises or agreements for Offbook, and you are responsible for your own costs, equipment, staff, insurance, and taxes.

## 15. Confidentiality and data

15.1. **Confidential information.** Keep any non-public information we share with you, such as unreleased features, plans, pricing, or Program performance, confidential. Use it only for the Program, and do not share it until we make it public. This duty continues after you leave the Program.

15.2. **Customer data.** We and Dub show you only aggregated or limited information about Referred Customers. Do not try to identify or contact a Referred Customer from it, combine it with other data, or sell, share, or use it for anything other than tracking your participation in the Program.

15.3. **Your data.** Offbook and Dub process your personal information to run the Program, as described in Offbook's Privacy Policy and Dub's privacy policy. Stripe processes your payout information.

15.4. **Your own audience.** If you collect personal information from your own audience, you are responsible for following privacy laws, including getting any required consent.

## 16. Disclaimers and limitation of liability

16.1. We do not promise that you will earn any amount.

16.2. The Program, the Materials, Dub, and the tracking systems are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, and we do not guarantee that the Service or tracking will be uninterrupted or error-free.

16.3. To the fullest extent the law allows, Offbook is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from the Program. Offbook's total liability arising from the Program or these terms is limited to the greater of (a) the Commissions paid to you in the 12 months before the claim, or (b) US$100.

16.4. Where the law does not allow these limits, they apply to the fullest extent it allows.

## 17. Indemnity

You agree to defend, indemnify, and hold harmless Offbook and its officers, employees, and agents from any claims, losses, damages, fines, and costs, including reasonable legal fees, that arise from your content, posts, ads, and claims about Offbook; missing or inadequate disclosures; your breach of these terms; or your violation of any law or anyone's rights.

## 18. Governing law and disputes

18.1. These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

18.2. Any dispute arising under these terms will be resolved in the state or federal courts located in Delaware, and you and Offbook consent to the jurisdiction of those courts.

18.3. This section does not limit any mandatory protections you have under the laws of the country where you live.

## 19. General

19.1. **Notices.** We send notices to the email address in your Dub account or through your Dub dashboard. Send notices to us at [hello@offbook.com](mailto:hello@offbook.com).

19.2. **Assignment.** You may not transfer these terms or your partner account without our written consent. We may transfer these terms in connection with a merger, acquisition, or sale of assets.

19.3. **Entire agreement.** These terms, together with the documents in Section 1.3, are the entire agreement about the Program and replace any earlier agreements about it.

19.4. **Severability.** If a court finds part of these terms unenforceable, the rest stays in effect.

19.5. **No waiver.** If we do not enforce a term, we do not give up our right to enforce it later.
